Review: The option grant backdating affair draws attention to a far more egregious issue, albeit an arcane one, that the IRS has been erroneously taxing options upon their exercise for at least the last 30 years. [Please see Tax Reform Act of 1976, General Explanation, page 154. See also S Rep No. 1236, 94th Cong. 2nd Session, 438-439]. The IRS' failure to employ grant-based taxation as directed by Congress has cost taxpayer option-holders approximately several hundred billions of dollars over that time period. The Service has relied upon the complex nature of options and an intellectually indifferent financial press to perpetuate this unintended exercise-date taxation. If you want a scandal to investigate, investigate that one.
